These Terms of Service ("Terms") apply to use of this website and to work carried out by MLCS HOLDINGS, INC. ("MLCS," "the company," "we," "us," or "our"). Using this site or instructing the company means you accept them.

What we do

MLCS HOLDINGS, INC. provides consumer products, product strategy, and product development services. The company makes, alters, tests, connects, and maintains software built to client requirements, and advises on process, technology choices, and product definition.

The signed agreement governs the work

These Terms cover general use of this website and the shape of the relationship. The scope of any particular job, its deliverables, dates, fees, payment terms, ownership of what is made, confidentiality obligations, warranties, and support arrangements are set out in a separate written agreement signed by both sides.

Where these Terms and a signed agreement disagree, the signed agreement governs that job. No work proceeds, and no obligation arises on our part, before a scope is agreed in writing.

What appears here is general information about the company and its services. It is not a proposal, a quotation, a commitment, or advice about any particular situation, and it may change at any time without notice.

The nature of our advice

Consulting advice is advisory. It rests on the information available to us and the circumstances at the time it is given. What a client decides and does in reliance on it remains the client's responsibility. Clients are encouraged to obtain qualified independent advice on legal, tax, accounting, insurance, and financial matters, none of which we advise on.

Using this site

Use it lawfully. Do not interfere with how it runs, attempt access you are not entitled to, introduce malicious code, or extract content by automated means in a way that burdens the site.

Ownership of site content

The content, text, design, and materials here belong to MLCS HOLDINGS, INC. or its licensors and are protected by applicable intellectual property law. They may not be reproduced or distributed without written permission. Ownership of work made during a client project is governed by the agreement covering that project.

No warranty on this site

This site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the company disclaims all warranties in respect of this site, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any warranty covering delivered work is the one stated in the agreement for that work.

Limitation of liability

To the fullest extent permitted by law, MLCS HOLDINGS, INC. and its officers, directors, employees, and contractors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or relating to use of this site. Liability arising from client work is limited as stated in the agreement covering that work.

Indemnity

You agree to indemnify and hold MLCS HOLDINGS, INC. harmless against claims, damages, and expenses arising from unlawful use of this site or breach of these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or from use of this site shall be brought in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

Severability

If any provision is found unenforceable, the rest remain in full force.

Changes

These Terms may be updated. Any change appears on this page with a revised effective date. Continuing to use the site after that means you accept the change.
